## Key takeaways

- A "tokenized stock" is not one thing. US regulators separate tokens issued or recognised by the company itself, tokens backed by shares held in custody, and synthetic tokens that only track a share price. Each gives the holder different rights.
- On October 15, 2026, Ripple Prime launched 24/7 swaps on more than 100 reference markets, including equities and ETFs. Market maker Virtu is already trading them. These are swaps that reference perpetual futures on Hyperliquid, not tokenized shares.
- HSBC's head of digital assets research called the launch "evolutionary, not revolutionary". He warned that the market is growing fast but is still small compared with the traditional markets it tracks, and that limited liquidity could constrain large trades.
- Tokenized stocks had a distributed value of about $3.42 billion on October 21, 2026, according to RWA.xyz. That is very small next to the listed equity markets they reference.
- The main open risks are thin liquidity, price gaps when the underlying exchange is closed, counterparty exposure to the token issuer, and uneven regulation across jurisdictions.

## Why tokenized stocks are back in the headlines

Tokenized stocks are not one thing. US regulators separate tokens issued or recognised by the company itself, tokens backed by shares held in custody, and synthetic tokens that only track a share price. Each gives holders different rights, and HSBC warns liquidity is still limited.

The launch came with a warning from a large bank. In a client note reported by CoinDesk on October 21, Daragh Maher, HSBC's head of digital assets research, described the market as "rapidly growing" but "not a very big one" compared with the traditional markets it tracks. He said that limited liquidity could constrain large trades. This explainer covers what these products are, how round-the-clock trading differs from normal exchange trading, what regulators have said, and why liquidity is the main open question.

## What a tokenized share actually represents

In everyday use, "tokenized stock" covers several different instruments. On January 28, 2026, staff from three divisions of the US Securities and Exchange Commission (Corporation Finance, Investment Management, and Trading and Markets) published a joint statement setting out a taxonomy. The statement is staff guidance, not a Commission rule. Its starting point is that a tokenized security is still a security. Putting the ownership record on a blockchain does not change how securities law applies.

The staff divide the market into two broad families:

| Model | Who creates the token | What the holder typically has | Key extra risk |
| ------------------------------------------- | --------------------------------------------------------- | ------------------------------------------------------------------------------------------------------------------------------------------ | ----------------------------------------------------------------------------------------------------- |
| Issuer-sponsored | The company that issued the share, or its transfer agent | The share itself, recorded on a blockchain alongside or instead of off-chain records | Mostly the same as the traditional share; a token with different rights may count as a separate class |
| Third-party custodial | An unaffiliated firm that holds the real share in custody | A direct or indirect interest in the underlying share, often a security entitlement | Exposure to the custodian, including its possible insolvency |
| Third-party synthetic (linked security) | An unaffiliated firm issuing its own note or equity | Economic exposure to the share price, but none of the issuer's rights | Credit risk of the third-party issuer |
| Third-party synthetic (security-based swap) | An unaffiliated counterparty | A contract tracking the price; the staff say it "typically does not convey to the holder any equity, voting, information, or other rights" | Counterparty risk; sales to retail clients face exchange-trading and registration requirements |

The practical lesson is that two products both labelled a "tokenized" version of the same company can behave very differently. One may carry voting rights and dividends. Another may only track the price and depend on the solvency of the firm that issued it. The SEC staff note that third-party tokens may expose holders to risks, such as the third party's bankruptcy, that holders of the underlying share would not face.

## How 24/7 trading differs from exchange hours

Listed shares in the United States trade mainly during regular exchange sessions on weekdays, with extended-hours sessions on either side. Trades then settle through a central clearing and settlement system. Blockchain venues run continuously, so tokens and derivatives that reference those shares can change hands on weekends and overnight, when the primary market is shut.

This creates a structural gap. When the underlying exchange is closed, there is no official price for the share. Prices on 24/7 venues are then set by whoever is trading there, often a small group of market makers and leveraged traders. When the main market reopens, the token or contract has to catch up with the real price, which can move sharply.

CoinDesk gave a recent example. On a Saturday, about $52 million of leveraged positions in chip stocks were forcibly closed within 10 minutes. The selling spread from Binance to Hyperliquid while the underlying shares were not trading at all. Episodes like this show that round-the-clock access does not automatically mean round-the-clock depth.

## What Ripple actually launched

Ripple's product is not a tokenized share. According to Ripple's October 15 announcement, Ripple Prime acts as principal on each trade. The value of each swap is linked to perpetual futures listed by Trade.xyz on Hyperliquid, a blockchain-based derivatives venue. Perpetual futures have no expiry date. They use periodic funding payments to stay close to a reference price.

Ripple says clients can cross-margin these positions against other asset classes they hold with Ripple Prime, and can post its RLUSD stablecoin as collateral where that is permitted. The offering currently runs under Ripple Prime's British Virgin Islands licence, and Ripple says it intends to extend it to other regions. Ripple has not disclosed trading volumes. Michael Higgins, international CEO of Ripple Prime, said in the release that "RWA swaps are where traditional and digital markets meet."

The launch builds on earlier steps. CoinDesk reports that Ripple connected its brokerage to Hyperliquid in February 2026\. CoinDesk also reported on October 8 that Ripple was earning fees from financing leveraged stock bets.

## Why HSBC says liquidity is still thin

As reported by CoinDesk, Maher's note made three main points. First, the market is growing quickly from a small base. Second, early users are more likely to be market makers, proprietary trading firms and hedge funds running basis trades than institutions looking for long-term hedges. Third, Ripple's success will depend on whether its service is cheaper and simpler than existing brokers and venues, and whether it uses client collateral more efficiently.

The figures below show the scale. Tokenized stocks tracked by RWA.xyz amount to a few billion dollars. That is small relative to the listed equity markets they track, which is the point HSBC's note makes.

| Metric (tokenized stocks) | Value | Change vs 30 days earlier |
| -------------------------- | --------------------------------------------------------------------------------------------- | ------------------------- |
| Distributed value | $3.42 billion | +8.04% |
| Holders | 4.38 million | +14.95% |
| Monthly transfer volume | $10.28 billion | \-73.75% |
| Largest platforms by value | bStocks ($1.2B), Ondo ($884.5M), xStocks ($596.0M), Securitize ($308.5M), Robinhood ($145.0M) | |

Thin liquidity matters for a simple reason. When few buyers and sellers are active, a large order can move the price far more than it would on a deep exchange. On a 24/7 venue during a weekend, no primary market price exists to anchor that move.

## What regulators and market infrastructure are doing

Alongside crypto-native venues, the traditional market infrastructure in the US is building its own route to tokenization. The main steps so far:

| Date | Development | Source |

| Mar 18, 2026 | SEC approves Nasdaq's rule allowing tokenized versions of securities to trade on the same order book as traditional shares, provided they are fungible, share the same CUSIP and symbol, and carry the same rights | SEC Release No. 34-105047 |
| Jul 15, 2026 | DTCC reports live production trades using DTC-custodied assets converted into tokens | DTCC |
| Oct 2026 | DTCC's scheduled launch window for its tokenization service; full launch had not been independently confirmed at the time of writing | DTCC |
| Oct 15, 2026 | Ripple Prime launches 24/7 swaps referencing Hyperliquid perpetuals on 100+ markets | Ripple |

The two approaches differ in an important way. The Nasdaq and DTC model keeps tokenized shares inside the existing regulated system. The tokens are the same security with the same rights, traded on the same order book during exchange hours. The offshore swap and synthetic token model offers continuous trading, but it relies on derivatives or third-party claims. It also operates outside the main US market structure.

## The open risks

- **Liquidity and slippage:** Order books on tokenized and synthetic venues are much thinner than primary exchanges. Large orders can move prices sharply, and HSBC flags this as a constraint.
- **Weekend and overnight gaps:** When the underlying market is closed, prices on 24/7 venues can drift or jump. They are then repriced when the exchange reopens, which can trigger margin calls and forced liquidations.
- **Counterparty and custody risk:** Custodial and synthetic tokens depend on the firm in the middle. The SEC staff note that holders may face risks, such as the third party's bankruptcy, that shareholders would not. Custody infrastructure is itself a contested business, as the reported, and denied, [Visa talks with custody firm Fireblocks](https://bullquill.com/fireblocks-denies-visa-acquisition-talks/) show.
- **Rights mismatch:** Many products give price exposure without voting rights, information rights or a direct claim on the company.
- **Regulatory fragmentation:** Offerings run under different licences in different jurisdictions. Access, investor protections and enforcement vary accordingly. The UK, for example, is consulting separately on decentralised finance; see our explainer on [the FCA's DeFi guidance](https://bullquill.com/fca-defi-guidance-consultations-explained/).

## What it means

Tokenization of equities is moving on two tracks at the same time. On one track, US exchanges and the central securities depository are adapting existing rules so that the same share can exist as a token, with the same rights and the same order book. On the other, crypto-native platforms and brokers such as Ripple Prime are offering continuous, derivatives-based exposure to stock prices, mainly to professional traders and mainly from offshore licences. Derivatives are also being packaged into regulated funds on the crypto side; our explainer on [bitcoin downside protection ETFs](https://bullquill.com/bitcoin-downside-protection-etfs-explained/) shows how options can cap both losses and gains.

Ripple's launch shows that large trading firms are interested in round-the-clock access and in using stablecoins as collateral. HSBC's note is a reminder that interest is not the same as depth. Until volumes grow and pricing outside exchange hours becomes more reliable, the market is likely to stay dominated by market makers and short-term strategies, and price gaps are likely to remain the main open risk. Things still to watch include whether DTCC's tokenization service goes fully live and which venues adopt Nasdaq's tokenized trading rule. Ripple has also not yet disclosed volumes or the regions it plans to add.

## Frequently asked questions

### What is a tokenized stock?

It is a blockchain token linked to a company's share. According to a January 2026 SEC staff statement, it can be the share itself recorded on a blockchain by the issuer, a token backed by a share held by a custodian, or a synthetic instrument that only tracks the share price.

### Does owning a tokenized stock give voting rights or dividends?

It depends on the model. Issuer-sponsored tokens can carry the same rights as the share. Synthetic tokens and security-based swaps typically give price exposure only, without voting or information rights, and add exposure to the third party that issued them.

### What did Ripple launch in October 2026?

On October 15, 2026, Ripple Prime launched 24/7 swaps referencing more than 100 markets, including equities and ETFs. The swaps track perpetual futures listed by Trade.xyz on Hyperliquid, accept RLUSD as collateral where permitted, and are offered under a British Virgin Islands licence.

### Why does HSBC say the market is still thin?

HSBC's head of digital assets research said the market is growing quickly but is small compared with the traditional markets it tracks, and that limited liquidity could constrain large trades, as reported by CoinDesk on October 21, 2026.

### Can tokenized stocks trade on Nasdaq?

The SEC approved a Nasdaq rule in March 2026 that allows tokenized versions of securities to trade on the same order book as traditional shares, provided they are fungible, share the same CUSIP and symbol, and carry the same rights.
