The **HDFC Bank CEO exit** takes effect at the close of business on 26 October 2026, when Sashidhar Jagdishan retires. Anup Bagchi, approved by the Reserve Bank of India on 1 October, starts a three-year term on 27 October, subject to shareholder approval.

## The CEO exit: confirmed and scheduled

HDFC Bank told stock exchanges on 29 August 2026 that Jagdishan had informed the board he would not seek reappointment. His current RBI-approved term runs from 27 October 2023 to 26 October 2026, and he will retire at the end of that term, according to the filing as reported by Moneylife. The bank said he held to his decision despite the board asking him to reconsider. It has not given a reason and has not linked the decision to any of the governance matters described below.

Jagdishan is a long-serving insider. He joined the bank's finance department in 1996, became chief financial officer in 2008 and took over as chief executive from founding CEO Aditya Puri on 27 October 2020\. The board credited him with completing the merger of HDFC Bank and its former parent, mortgage lender HDFC Ltd, which took effect in July 2023.

## The successor: RBI approval in hand

Under Indian banking law, a private bank cannot appoint a chief executive without RBI approval. The bank said the RBI approved Anup Bagchi's appointment and pay in a communication dated 1 October 2026, under Section 35B of the Banking Regulation Act, 1949\. The board named him an additional director from 2 October, and his term as MD and CEO runs from 27 October 2026 to 26 October 2029\. Shareholders still have to approve the appointment under the Companies Act, 2013.

Bagchi comes from the rival ICICI group. He is currently MD and CEO of ICICI Prudential Life Insurance and served as an executive director of ICICI Bank from 2017 to 2023\. That makes the move an external appointment, which analysts had flagged as a possibility after Jagdishan's announcement, according to Reuters reporting cited by Moneylife.

## The chairman's resignation and the MSRDC review

The governance questions started with Chakraborty's resignation on 18 March. His letter, disclosed by the bank, said certain developments and practices within the bank did not align with his personal values and ethics. He did not spell out what he meant, and the bank's shares fell sharply in the following sessions, Outlook Business reported. In June the bank said an external review by two law firms had found the allegations unsubstantiated, based on the documents and witness interviews examined.

Separately, media reports in May said the bank had paid about ₹45 crore to the Maharashtra State Road Development Corporation (MSRDC), recorded as marketing spending, in connection with large deposits placed by the state agency. The bank denied wrongdoing at the time. A special committee of independent directors later examined deposit arrangements from 2017 and 2021\. According to Free Press Journal, the committee found no evidence of dishonest intent, personal benefit or fraud, but concluded that some officials had acted beyond approved policies and their defined authority.

The board then fined Jagdishan, CFO Srinivasan Vaidyanathan and group head of retail assets Arvind Vohra ₹1 lakh each and issued them warning letters. Other staff involved received warnings without fines, and the bank said it would share the details with the RBI. Outlook Business reported that the board described the episode as "business overreach" and that the RBI later sought an explanation from the bank about the public penalty on senior management. The RBI has not commented publicly on the matter.

Leadership at the top of the board has since settled. Rajiv Kumar, a former finance secretary and Chief Election Commissioner, received RBI approval as part-time chairman on 15 July for three years, succeeding interim chairman Keki Mistry, who stays on the board.

## The US class action

On 13 August, investor Jwalant Natvarlal Soneji filed a proposed securities class action in the US District Court for the Southern District of New York against HDFC Bank, Jagdishan and Vaidyanathan, Moneylife reported. HDFC Bank's American depositary receipts trade in New York. The complaint alleges misleading statements and failures to disclose information about the MSRDC arrangement and internal controls. It seeks to represent investors who bought the bank's securities between 17 July 2023 and 26 May 2026\. A judge has not yet ruled on the claims. The bank has called the suit without merit and says it will defend itself vigorously.

## Today's trending report: what is and is not confirmed

On 21 October, Bloomberg reported, citing people familiar with the matter, that an internal probe had found evidence that two senior executives who oversee key businesses and functions shared confidential strategy and possibly market-sensitive information with outsiders. Business Today and Business Standard carried the report. The executives were not named. According to the report, the inquiry started after some leaders raised concerns about leaks, its findings were shared with senior management and some board members earlier this year, and both executives have been told of the outcome so far.

The bank's public position is narrower. A spokesperson confirmed that "an internal review into this matter is currently underway to gather and evaluate all relevant facts" and said appropriate action would follow once it is complete, Business Today reported. The bank did not comment on the findings or identify anyone. Bullquill found no statement from the RBI or the Securities and Exchange Board of India on the matter, and no disclosed disciplinary action. Until the bank or a regulator says more, the specific findings described in the report should be treated as unverified. It is also not known whether the matter is connected to the MSRDC review or the leadership change.

## What it means

For HDFC Bank, the immediate effect is that Bagchi takes over a bank whose governance is under scrutiny, not just its growth. The leadership change itself appears orderly: the regulator approved the successor almost four weeks before the handover, and the chairman's post has been filled on a full term. But the new chief executive inherits several open items. These include a US lawsuit that names his predecessor and the current CFO, an RBI query about the July penalties, and an internal leak review the bank says is still running.

Investor sentiment has reflected these pressures. HDFC Bank shares have fallen about 28% so far in 2026, giving the bank a market value of roughly $115 billion, according to Bloomberg figures cited by Business Today on 21 October. That decline also covers wider market and sector factors and cannot be attributed to any single event. For the wider Indian banking sector, the episode is a test of how boards handle internal findings and how quickly they disclose them. How the bank concludes and discloses the leak review, and how the New York court handles the class action, are the next points to watch.
