## What are the EQT Qiagen takeover terms?

The EQT Qiagen takeover values the group at about €10.8 billion ($12.1 billion) including net debt. EQT Private Equity will offer €46.50 in cash per share, a 40.3% premium to Qiagen's Xetra close of €33.15 on 8 July 2026, before reports of private equity interest. Both Qiagen boards, the Supervisory Board and the Managing Board, unanimously approved the business combination agreement. According to the release, they intend to recommend that shareholders tender their shares and vote for the post-closing measures. The formal recommendation will follow once the offer document is published.

The companies said EQT has committed equity and debt financing to cover the full offer and transaction costs, and that the offer has no financing condition. Morgan Stanley, Jefferies, Deutsche Bank, SMBC, Crédit Agricole and UniCredit are lead arrangers and bookrunners for the debt.

## Why is the premium measured from July?

The 40.3% premium is not measured against the share price on the day of the announcement. It is measured against the "unaffected" price of 8 July 2026, the last trading day before reports of buyout interest moved the stock.

On 9 July, Bloomberg News reported that EQT, Advent and KKR were exploring a takeover. It said some suitors were considering an offer of at least $50 per share. Reuters, which said it could not immediately verify the report, wrote that Qiagen's Frankfurt shares rose at least 10% that day. At the time Qiagen and KKR declined to comment, and Advent and EQT were not immediately available.

That is why the gap between the offer and the latest trading price is much smaller than the headline premium. On 21 October, the day of the announcement, Qiagen's New York shares closed at $50.00, up 2.25%, according to RTTNews.

### What happened to the other suitors?

No rival offer has been announced. European Biotechnology noted that earlier speculation had pointed to a possible contest between EQT and KKR. Neither KKR nor Advent has publicly said whether it made a bid. Qiagen had said earlier in 2026 that it was reviewing strategic options with Moelis and Goldman Sachs. Bloomberg had first reported in January that a sale was among the options.

## How the offer process will work

Qiagen is a Dutch holding company with a German listing, so the process runs under several rulebooks. Germany's financial regulator BaFin must approve the offer document before it is published. Publication starts the acceptance period. The bidder will also file a Schedule TO tender offer statement with the SEC for U.S. holders.

Qiagen will hold an EGM during the initial acceptance period. Shareholders will vote on the "post-closing measures", a set of steps that lets the buyer take full ownership and remove the shares from the Frankfurt Stock Exchange and NYSE. If at least 80% of votes cast approve, the boards will take a formal "implementation decision". If support is lower, the release says the boards may still go ahead if they judge it to be in Qiagen's best interest and the measures have substantial majority support. In that judgement they may weigh turnout and how long shareholders have held their shares.

The release warns that shareholders who do not tender will receive a cash distribution equal to the offer price, but after withholding taxes. That amount may be less than they would receive by tendering.

## Why is private equity buying a listed diagnostics company?

Qiagen sells sample-preparation kits, instruments and molecular tests used by hospitals, laboratories and drug developers. In 2025 it reported net sales of $2.09 billion, up 5% at constant exchange rates. Its adjusted operating margin was 29.5%, according to its full-year results filed with the SEC in February.

| Qiagen FY2025 metric | Value | Growth (CER) |
| ------------------------------ | ------- | ------------- |
| Net sales | $2.09bn | +5% |
| Diagnostic solutions | $803m | +6% |
| Sample technologies | $661m | +2% |
| QuantiFERON (TB testing) | $503m | +10% |
| QIAstat-Dx (syndromic testing) | $139m | +24% |
| Adjusted operating margin | 29.5% | up from 28.7% |

Steady, recurring revenue from consumables and high margins are features buyout firms often look for, because they can support the debt used to finance a deal. The companies give their own reasons. Qiagen's boards said private ownership would make long-term investment easier and give management more flexibility. They said they consider the offer the best path for the next growth phase, including compared with staying listed. Chief executive Jonathan M. Pratt said that under private ownership "we can move faster". Chief financial officer Roland Sackers described the deal as providing shareholders "an attractive premium".

EQT pointed to its healthcare record, which includes current or former holdings such as Galderma, Parexel, Aldevron, SPT Labtech, Dako and HemoCue. Matteo Thun-Hohenstein, a partner at EQT, called Qiagen "an outstanding global leader in the life science tools and diagnostics market". Michael Bauer, EQT's global co-head of healthcare, described it as a landmark transaction for the firm.

EQT has made commitments on strategy, brands, operational footprint, research and development, employees and financing. Qiagen will keep its name and will run independently under its current management until closing. The release does not announce job cuts, site changes or a new headquarters.

## What it means

For Qiagen shareholders, the main questions are whether enough holders tender to reach the 50%-plus-one threshold, and whether the post-closing measures win strong support at the EGM. A rival offer is another variable. None has been announced.

For regulators, the deal still needs merger-control and foreign-investment clearances. The mid-2027 target shows how long that review is expected to take. The interim-dividend clause covers a longer delay. If the deal closes, Qiagen will leave both the Frankfurt and New York exchanges.

The next milestones are BaFin's approval and publication of the offer document, the start of the acceptance period, and the EGM date.
