## What happened

Anthropic IPO risks start with compute: the prospectus made public on Monday, Oct. 26, 2026, shows the Claude maker put roughly $9 billion into AI infrastructure over six months, more than its $7.3 billion for all of 2025, and warns that losses will continue.

The Form S-1, posted on the SEC's EDGAR system, prepares a Nasdaq listing under the ticker ANT. Reuters, Al Jazeera, Fortune and Yahoo Finance published detailed readings of the document between about 13:00 and 17:20 UTC on Monday. Goldman Sachs and Morgan Stanley lead a group of 22 underwriters, according to Al Jazeera. Bullquill covered the headline numbers and listing plan in its [first report on the Anthropic IPO filing](https://bullquill.com/anthropic-files-s1-nasdaq-ipo-ant/); this article focuses on costs and risks.

## Anthropic IPO costs: what the S-1 shows

Revenue reached $16.3 billion in the six months to June 30, 2026, more than 13 times the figure a year earlier. In the second quarter alone, revenue rose 1,368% year on year, Al Jazeera reported. But the prospectus is blunt about spending. "We expect our costs will increase over time and our losses will continue," the filing states, as quoted by Fortune.

Figures as filed in the S-1 on Oct. 26, 2026, as reported by the outlets named; data as of 17:30 UTC.

The gap between the operating result and the net loss matters. According to Fortune, the bulk of the loss comes from a rise in the fair value of convertible notes, an accounting entry that does not consume cash. On an operating basis the company generated $3.9 billion in cash in the half, Fortune reported. Al Jazeera's account adds that compute and infrastructure costs are expected to keep rising in absolute dollars. ## The risk factors investors will read first

### Model behaviour and safety

The prospectus lists "self-preserving behaviours," including behaviour "resembling blackmail," among its risks, Al Jazeera reported. It also says that using AI to speed up its own research "may cause the capabilities of our models to advance more rapidly" than its safety measures. Yahoo Finance reported that the filing warns harm from a catastrophic AI incident could exceed what the company is able to cover.

### Suppliers and customers

Anthropic relies on a limited number of cloud providers and chip suppliers, including Broadcom, which creates "dependencies and potential vulnerabilities," according to Al Jazeera. On the revenue side, roughly one-fifth of sales came from two customers, Yahoo Finance reported, while Fortune said the top five customers made up about 25% of revenue in the first nine months of 2026\. Nearly half of revenue flows through the cloud marketplaces of Amazon, Google and Microsoft, Fortune added. The company also estimates that 5% to 7% of this year's revenue came from customers later found to have violated its usage policies, per Fortune.

## What we know and what we don't know yet

- **Known:** the exchange (Nasdaq), ticker (ANT), lead banks, first-half results and the main risk categories.
- **Not yet known:** the price range, number of shares, amount to be raised and listing date. Al Jazeera reported a debut is expected before Thanksgiving, but no date has been filed.
- **Valuation:** Anthropic was valued at $965 billion in a May 2026 funding round. Some investors now put it near $1.5 trillion, down from about $2 trillion a week earlier, Reuters reported via Al Jazeera. The company has not confirmed any figure.

## Background

Anthropic, founded in 2021 by siblings Dario and Daniela Amodei among others, confidentially submitted a draft S-1 in June 2026 and made it public on Oct. 26\. It had about 5,300 employees at the end of September, Fortune reported. Its largest backers include Amazon and Google, both of which also sell it cloud computing; Bullquill has tracked [what early investors' stakes could be worth](https://bullquill.com/anthropic-ipo-early-backers-stakes-value/). ## What it means

The filing gives public investors their first audited look at the economics of a leading AI lab. Revenue growth is steep and operating cash flow has turned positive, but hundreds of billions of dollars in long-term compute contracts tie the company's future to continued demand. "Anthropic's IPO will establish a benchmark for valuing leading AI labs," Lukas Muehlbauer, a research associate at IPOX, told Al Jazeera, adding that its success "would not necessarily benefit every AI business equally." Pricing and roadshow details, expected in an amended filing, will show how investors weigh that growth against the costs and risks.
